Associate – Capital Markets
Practice Overview:
The Capital Markets Practice is recognized for its expertise in handling U.S. and cross-border transactions, including initial public offerings (IPOs), registered direct offerings, at-the-market offerings (ATMs), public and private equity line transactions, SPACs, and PIPEs. The team represents public and private issuers, with a focus on Israel-headquartered companies, as well as underwriters, financial institutions, venture capital funds, investment companies, and private investment firms in all aspects of U.S. securities offerings.
Role Summary:
The associate will represent private and public company clients in capital market transactions, general disclosure, and securities compliance matters. The role involves managing client relationships and handling day-to-day client needs, with mentoring from senior securities lawyers.
דרישות המשרה
• Admission to practice law in the U.S.
• 2–5 years of experience in general corporate practice, with a primary focus on U.S. securities law, including SEC reporting requirements.
• Experience representing issuers in public and private offerings (IPOs and follow-on offerings) is highly desirable.
• Additional experience advising pre-IPO and public companies on disclosure, corporate governance, and SEC and stock exchange compliance matters, including preparation of Exchange Act filings (Forms 10-K, 10-Q, 8-K, and proxy statements), is preferred.
• Experience representing foreign private issuers is a plus.
• Hebrew language skills are an advantage.
